We are a Benefit Society

We work to create an enterprise in which the centrality of the person, in his or her different roles (worker, customer, supplier, community), is made manifest by the primacy of the human relationship and the Common Good as the guiding ideal.

Tirelli & Partners seeks to build a business model that:

  • show and demonstrate the possibility of a "non-extractive" economic model where the exploitation of people, the creation of excessive inequality, waste and irresponsible pollution are banned;

  • through supportive collaboration rewards things "done right" and not things "done alone" avoiding the degradation of social systems related to the way meritocracy is understood as privilege instead of service;

  • build and help people build human relationships with each other and not just economic-financial relationships;

  • has profit as a means of pursuing the happiness of people inside and outside the company and not as an end.

purpose

"Tirelli & Partners has as its ultimate goal the pursuit of well-being and happiness for all its people through working in a supportive and motivating environment and participating in shared prosperity economic activity."

Inclusion of the following common benefit purposes

The activities that constitute the corporate purpose include the following specific purposes of common benefit:

  • commitment to pursue concrete policies and actions aimed at having a positive social and environmental impact;

  • the spread in the real estate sector, but also in other sectors, of knowledge of business models with high social and environmental responsibility, particularly the B Corp model and the Benefit Corporation legal form;

  • collaboration and synergy with for-profit, nonprofit, foundation and similar organizations whose purpose is aligned and synergistic with that of the Society, to contribute to their development and amplify the positive impact of their work.

Human resources remuneration policy

"The ratio of the lowest to the highest remuneration (including any bonuses) received by collaborators, employees and managers of the company may not be greater than 1:7. In counting this ratio, any part-time contracts will be counted according to the number of hours contracted. In the event that at the end of the year, for one or more persons, there is a ratio greater than the maximum established herein, each of the persons will be awarded a bonus in an amount sufficient to realign the ratio to the maximum of 7 established."

Distribution of corporate profits

The net profits shown in the financial statements, less at least five percent (5%) to be allocated to the legal reserve until it has reached one-fifth of the capital, will be distributed as follows:

  • to associations pursuing charitable, cultural and environmental purposes, an amount equal to the lesser of 20 percent (twenty percent) of profits or 2 percent (two percent) of turnover;

  • to shareholders in proportion to the shareholding held by each, an amount not exceeding the amount obtained by multiplying the sum of paid-up share capital and capital contributions by the following formula: (1+(8.5%+ECB Rate)^n) where: ECB rate means the rate for refinancing operations of the European Central Bank. Years in which no dividends are distributed or dividends are distributed in an amount less than the yield established above will also be taken into account in the calculation of dividends;

  • the remainder to a non-distributable statutory reserve for the life of the company, which can be used for the development of projects related to the company's activities and cannot be used for the purpose of free capital increases."

As a Benefit Society starting with the 2020 budget we measure our contribution to each of the common benefit goals by preparing an Impact Report that, by looking at what we have done in the past year, designs our blueprint for improvement for future ones.To objectively measure and report on the overall impact reported in the Report we use the Benefit Impact Assessment (BIA), an international benchmark developed by the U.S. nonprofit B Lab.
